The "Listed Business" shall indemnify, defend and hold harmless the "Company" against and in respect of any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries, and deficiencies, including interest, penalties, court costs, expert's fees, and attorney's fees that the "Listed Business" shall incur or suffer, that arise from, result from, or relate to any breach of, or failure to the "Listed Business" to perform any of its representations, warranties, covenants, or agreements or that arise from, result from, or relate to the operation or activities of the" Listed Business".
